5. 交貨日期/Time of Delivery

6. 質(zhì)量保證/Guarantee of Quality
賣方保證貨物使用最好的材料, 一流的工藝, 全新的標(biāo)牌, 并與合同中規(guī)定的各方面的質(zhì)量要求及技術(shù)規(guī)格相符。 質(zhì)保期為貨物終驗(yàn)收?qǐng)?bào)告簽署日后12個(gè)月。
The Sellers guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specification stipulated in this Contract. The guarantee period shall be 12 months counting from the date when the Final Acceptance Certificate is signed.
7. 售后服務(wù)/ Technical assistance
、儇浀胶笮璺皆谝粋(gè)月內(nèi)通知供方上門作安裝調(diào)試及服務(wù)培訓(xùn),培訓(xùn)時(shí)間為3個(gè)工作日。
②現(xiàn)場(chǎng)驗(yàn)收合格即日計(jì)算保修12個(gè)月。
、廴缭谑褂眠^程設(shè)備出現(xiàn)一般問題,供方12個(gè)小時(shí)解決,特殊問題在48個(gè)小時(shí)完成.
a. The buyer should ask the technical assistance within one month after the consignee. The start up and training shall be 3 working day.
b. The guarantee period is 12 months after the acceptance of the machine.
c. The supplier guarantee to settle the machine problems within 12 hours after the problem happen caused by the general troubles and within 48 hours for the special trouble of the machine.
8. 索賠/Claims
在貨物到達(dá)買方工廠30天時(shí)間內(nèi), 如發(fā)現(xiàn)質(zhì)量, 說明書或數(shù)量不符合合同規(guī)定,除非那些由保險(xiǎn)公司應(yīng)負(fù)的索賠外, 買方可憑借商檢局簽發(fā)的驗(yàn)收證明, 有權(quán)提出用新的貨物或零件替換, 所有費(fèi)用(例如檢驗(yàn)費(fèi),貨物返回和更換發(fā)送的運(yùn)費(fèi), 保險(xiǎn)費(fèi), 貯存費(fèi), 裝卸費(fèi)等等)由賣方負(fù)擔(dān)。關(guān)于質(zhì)量問題, 賣方應(yīng)保證對(duì)貨物在終驗(yàn)收后12個(gè)月內(nèi), 如果由于質(zhì)量低劣、工藝落后或采用低劣的材料而在操作過程中造成事故負(fù)責(zé)。事故發(fā)生
后,買方應(yīng)立即以書面的形式通知賣方, 并用商檢局簽發(fā)的檢驗(yàn)證明作為依據(jù), 提出索賠。所簽發(fā)的證明是索賠依據(jù), 賣方應(yīng)按照買方的索賠, 立即消除瑕疵, 全部或部分地更換商品或按照瑕疵的程度對(duì)貨物貶值。此外, 有必要提出的是: 買方在賣方承擔(dān)費(fèi)用后, 自己有責(zé)任來消除瑕疵。如果賣方在收到上述索賠證明后一個(gè)月內(nèi)不予回答, 則認(rèn)為賣方已接受索賠條件。
Within 30 days after the arrival of the goods at the destination, should the quality, specification or quantity be found not in conformity with the stipulations of the Contract except those claims for which the insurance company are liable , the Buyers shall, on the strength of the Inspection Certificate issued by the Commodity Inspection Bureau, have the right to claim for replacement with new goods, or for compensation, and all the expenses (such as inspection charges, freight for returning the goods and for sending the replacement, insurance premium, storage, loading and unloading charges etc.) shall be borne by the Sellers. As regards quality, the Sellers shall guarantee that if, within 12 months from the date of the Final Acceptance of the goods, damage occurs in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials. The Buyers shall immediately notify the Sellers in writing when damage occurs and put forward a claim supported by Inspection Certificate issued by the China Commodity Inspection Bureau. The Certificate so issued shall be accepted as the base of a claim. The Sellers, in accordance with the Buyers’ claim, shall be responsible for the immediate elimination of the defect(s), complete or partial replacement of the commodity or shall devaluate the commodity according to the state of defect(s). Where necessary, the Buyers shall be liberty to eliminate the defect(s) themselves at the Sellers’ expenses. If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.
9. 推遲交貨和罰款/Late Delivery and Penalty
除本合同第10條規(guī)定的情況外, 如賣方?jīng)]有按合同規(guī)定準(zhǔn)時(shí)交貨,買方同意賣方付給罰款, 并由付款銀行從議付款中扣除的條件下延期交貨。在延期交貨中的罰款不得超過總貨值的5%, 罰款率為每天合同總價(jià)的0.5%。假如賣方交貨期超過7天, 買方有權(quán)取消合同。 取消合同的.情況, 賣方仍不能延誤付給買方上述罰款。
Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 10 of this Contract, the Buyers shall agree to postpone the delivery on condition that the Sellers agree to pay a
penalty which shall be deducted by the paying bank from the payment under negotiations. The penalty, however, shall not exceed 5% of the total value of the goods. The rate of penalty is charged at 0.5% for every day。In case the Sellers fail to make delivery ten weeks later than 7 days, the Buyers shall have the right to cancel the Contract and the Sellers, in spite of the cancellation, shall still pay the aforesaid penalty to the Buyers without delay.
10. 不可抗力/Force Majeure
任何一方對(duì)由于下列原因而導(dǎo)致不能或暫時(shí)不能履行全部或部分合同義務(wù)的,不負(fù)責(zé)任:水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭(zhēng)或任何在簽約時(shí)不能預(yù)料、無法控制且不能避免和克服的事件。但受不可抗力影響的一方,應(yīng)盡快將所發(fā)生的事件通知對(duì)方,并應(yīng)在事件發(fā)生后15天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事件的證明寄交對(duì)方。如果不可抗力的影響超過60天,買方有權(quán)提出取消合同。
Either Party shall not be held responsible for failure or delay to perform all or any part of the Contract due to flood, fire, earthquake, drought, war or any other events which could not be predicted at the time of the conclusion of the Contract, and could not be controlled, avoided or overcome by the parties. However, the Party effected by the Event of Force Majeure shall inform the other party of its occurrence in written as soon as possible and thereafter send a certificate of the Event issued by the relevant authority to the other party but no later than 15 days after its occurrence. In case the Event lasts for more than 60 days, the Buyers shall have the right to cancel the Contract.
11. 爭(zhēng)議/Disputes
因履行本合同所發(fā)生的一切爭(zhēng)議,雙方應(yīng)友好協(xié)商解決。
All disputes arising from the performance of this Contract should be settled through friendly negotiations.
12. 特殊條款/Special Provisions
如有中英文解釋不同,將以中文為準(zhǔn)。
In the event of discrepancy between the interpretation of the Chinese and English version, the Chinese vesrion shall prevail. 買方預(yù)付合同金額的40%后,合同即生效。
The contract shall be effective with the down payment. 附件是本合同不可分割的一部分,遵守本合同的規(guī)定。
All the attachments are indispensability of this contract,and have the same legal effect of the main contact.
本合同由買賣雙方簽字,一式二份。每方各執(zhí)一份。

附:設(shè)備采購(gòu)合同范本

經(jīng)甲、乙雙方充分友好協(xié)商,就購(gòu)買_________項(xiàng)目特訂立本合同,以便共同遵守。

總價(jià)中包括設(shè)備金額、包裝、運(yùn)輸保險(xiǎn)費(fèi)、裝卸費(fèi)、安裝及相關(guān)材料費(fèi)、調(diào)試費(fèi)、軟件費(fèi)、檢驗(yàn)費(fèi)及培訓(xùn)所需費(fèi)用及稅金。
本合同總金額不得做任何變更與調(diào)整。
三、合同生效
本合同經(jīng)雙方簽字后生效。
四、付款方式
貨物驗(yàn)收合格,設(shè)備安裝、調(diào)試運(yùn)轉(zhuǎn)正常,乙方為甲方培訓(xùn)結(jié)束、甲方無疑問后,甲方向乙方支付合同總價(jià)100%貨款。
五、交貨、包裝與驗(yàn)收
1.交貨地點(diǎn):按甲方指定的地點(diǎn)。
2.交貨時(shí)間:合同生效后_________日內(nèi)。
3.乙方將貨物一次運(yùn)至交貨地點(diǎn)。并于到貨前24小時(shí)將到貨名稱、型號(hào)、數(shù)量、外形尺寸、單重及注意事項(xiàng)等,以書面形式通知甲方。
4.設(shè)備包裝應(yīng)符合國(guó)家標(biāo)準(zhǔn),以設(shè)備在運(yùn)輸過程中不受損傷,由于包裝不當(dāng)造成設(shè)備在運(yùn)輸過程中有任何損壞或丟失,由乙方負(fù)責(zé)。
5.設(shè)備由乙方負(fù)責(zé)送到施工現(xiàn)場(chǎng),由乙方負(fù)責(zé)運(yùn)輸、卸車。
6.設(shè)備到達(dá)現(xiàn)場(chǎng),甲乙雙方均須在場(chǎng)并確認(rèn)包裝的完好性后,由甲方驗(yàn)貨。乙方應(yīng)按甲方安排的時(shí)間派人到現(xiàn)場(chǎng),對(duì)貨物進(jìn)行清點(diǎn)驗(yàn)收,并簽字確認(rèn)。若發(fā)現(xiàn)貨物與裝箱單不符,乙方負(fù)責(zé)補(bǔ)齊或收回。如乙方不能按時(shí)到達(dá),甲方有權(quán)開箱檢驗(yàn),并對(duì)缺件,損壞做出記錄,乙方應(yīng)認(rèn)可并負(fù)責(zé)解決。
7.乙方負(fù)責(zé)設(shè)備安裝及調(diào)試,直至設(shè)備正常運(yùn)行。最終驗(yàn)收在此之后進(jìn)行。如設(shè)備不能通過驗(yàn)收,乙方應(yīng)退貨,退還甲方所有金額。
8.乙方應(yīng)自帶用以安裝、調(diào)試過程中所需的各種工具、儀器儀表及易損件。
六、產(chǎn)品質(zhì)量保證與售后服務(wù)
1.乙方應(yīng)嚴(yán)格按照國(guó)家有關(guān)標(biāo)準(zhǔn)和規(guī)定進(jìn)行制造和檢驗(yàn),材料及零部件均為全新未用過的,且符合本合同附件中規(guī)定。以確保產(chǎn)品質(zhì)量。設(shè)備須經(jīng)技術(shù)檢驗(yàn),符合國(guó)家相關(guān)標(biāo)準(zhǔn)才能出廠。
2.乙方負(fù)責(zé)免費(fèi)為甲方培訓(xùn)操作及維修人員。包括:基本原理,操作使用和維修保養(yǎng)。
3.設(shè)備投入正常運(yùn)行后,乙方應(yīng)定期回訪使用方。
4.乙方應(yīng)在附件中明確售后服務(wù)內(nèi)容、響應(yīng)時(shí)間、范圍、方式、收費(fèi)標(biāo)準(zhǔn)等,并進(jìn)行其他售后服務(wù)工作。
七、責(zé)任與義務(wù)
1.在設(shè)備安裝調(diào)試時(shí),如乙方提出,甲方應(yīng)為乙方人員的飲食提供方便,其費(fèi)用由乙方自理。
八、違約責(zé)任
1.乙方不能按期交貨,除不可抗拒因素外,乙方應(yīng)向甲方支付延期,每日按合同總價(jià)的0.3%金額計(jì)¥_________元計(jì)算。
2.甲方延期付款時(shí)(正當(dāng)拒付除外)應(yīng)向乙方支付該此延付款數(shù)額的延期違約金,每日按該此延期付款額的0.3%金額計(jì)算,支付款辦理期為10個(gè)工作日。
3.雙方必須嚴(yán)格執(zhí)行《中華人民共和國(guó)合同法》的有關(guān)違約責(zé)任規(guī)定。
九、合同的解除和變更
1.當(dāng)合同一方要求變更或解除合同時(shí),在新協(xié)議未達(dá)成前,原合同仍然有效。要求變更的一方應(yīng)及時(shí)通知對(duì)方,對(duì)方在接到通知15日內(nèi)給與答復(fù),逾期未答復(fù)則視為已同意。
2.如乙方要求變更或解除合同,所造成的損失由乙方負(fù)責(zé)。
十、合同糾紛的解決
1.甲乙雙方若發(fā)生合同糾紛,應(yīng)本著互諒互讓、互相尊重、和平友好的原則協(xié)商解決。
2.本合同履約地為_________,若雙方不能通過協(xié)商達(dá)成協(xié)議,可依據(jù)《中華人民共和國(guó)民事訴訟法》和《中華人民共和國(guó)合同法》的有關(guān)規(guī)定,向_________仲裁機(jī)構(gòu)申請(qǐng)仲裁或提起訴訟。
3.如果有附件,附件也是本合同不可缺少之組成部分,具有同等法律效力。
十一、
本合同因不可抗力而無法履行時(shí),雙方按國(guó)家有關(guān)法律規(guī)定處理。
